[Explaining] China’s YMTC Plans 780-Billion-Yen IPO

IT

The holding company of Yangtze Memory Technologies Corp. (YMTC), a major Chinese semiconductor memory maker, has completed the IPO guidance process for a listing on the Shanghai Stock Exchange’s STAR Market and officially filed for an IPO. Behind this move are the surge in global AI demand and its rapid rise to the world’s third-largest market share, backed by its proprietary technology development.

Completion of Listing Guidance and the Full Picture of the Approx. 780 Billion-Yen IPO Plan

The holding company of Yangtze Memory Technologies Corp (YMTC), a major Chinese 3D NAND flash memory manufacturer, has completed its pre-listing guidance for an initial public offering (IPO) and entered the completion confirmation stage by the China Securities Regulatory Commission as of August 19, 2026. CITIC Securities and China Securities serve as the lead underwriters. The company has officially applied for an IPO worth 33 billion yuan—approximately 780 billion Japanese yen (about $4.9 billion)—to list on the STAR Market, the high-tech board of the Shanghai Stock Exchange. It plans to issue 1.98 billion to 2.43 billion A-shares, equivalent to 10% to 12% of the total issued shares after the listing, with the over-allotment option set at a maximum of 15%. If realized, this IPO will be one of the largest technology company listings in the Chinese A-share market in recent years. Of the raised funds, 20.8 billion yuan is planned to be allocated to strengthening mass production lines, and 12.2 billion yuan will be invested in research and development of cutting-edge technologies. Rapidly expanding business performance and a solid, state-led capital structure

YMTC’s business performance has expanded rapidly at an astonishing pace in recent years. Having achieved profitability in 2024, the company posted full-year sales of 63.19 billion yuan for 2025. Furthermore, in the first quarter of 2026 alone, it recorded exceptionally high earnings with sales of 47.04 billion yuan and a net profit of 33.38 billion yuan. Supporting this rapid business expansion is generous state backing from the Chinese government. The company’s shareholder structure is heavily state-led, with Hubei Changsheng Development, an investment company under the umbrella of the Wuhan municipal government, holding the top stake at 26.54%, and another Wuhan-affiliated investment company accounting for 25.35% as the second-largest shareholder. In addition, Phase I and Phase II of the China Integrated Circuit Industry Investment Fund (the “Big Fund”), which aims to foster China’s semiconductor industry, hold 11.97% and 11.38% respectively. A robust capital structure in which these government and state-affiliated capitals significantly exceed a majority has been established, serving as the driving force that has enabled large-scale R&D and sustained capital investment even while facing severe sanctions from the United States.

Proprietary Xtacking Technology and a Rapid Surge to 3rd Place in Global Market Share

YMTC has achieved rapid growth technologically, centered around its independently developed Xtacking architecture, a 3D stacking technology. It has already realized mass production of 3D NAND flash memory exceeding 200 layers, and is also pushing forward with the mass production of cutting-edge products such as 267-layer and 294-layer chips. Furthermore, it plans to transition to next-generation technology with over 300 layers next year, a high level on par with industry leaders Samsung Electronics and SK Hynix. According to data from market research firm Counterpoint Research for the second quarter of 2026, YMTC recorded a 14% share of global NAND flash shipments. This allowed it to slightly surpass Japan’s Kioxia and capture the number three spot globally for the first time. In the industry, the critical threshold for memory makers to fund their own capital expenditures and achieve independent growth is estimated to be a “15% market share,” and the company is closing in on this benchmark. This exceptional technological capability and rapid expansion of market share are the factors driving its valuation at the time of an IPO up to a maximum of 300 billion yuan (approximately 6.4 trillion yen).

The Impact of Production Capacity Expansion and Geopolitical Regulations

Commencement of operations at Wuhan Plant No. 3 and the intensification of production-increase competition

YMTC is currently operating two factories in Wuhan, Hubei Province, with a combined monthly production capacity of approximately 200,000 wafers. To expand its capacity further, the company partnered with a local government investment agency in 2025 to establish a new joint venture called Changcun Sanqi (Wuhan) Integrated Circuit, investing 20.72 billion yuan (approximately 476.5 billion yen). The third Wuhan factory, currently under construction, is scheduled to commence operations by the end of 2026 and transition to full mass production in 2027. Looking ahead, YMTC plans to construct two additional facilities, which could double its total monthly production capacity to between 400,000 and 500,000 wafers. Notably, the third factory has achieved a domestic equipment utilization rate exceeding 50%, utilizing local supply chains for critical processes such as etching, thin-film deposition, and photoresist application. The substantial capital raised through this IPO is poised to accelerate this capacity expansion, intensifying the production race in the global memory market.

Tightening of U.S. Export Controls and Persistent Geopolitical Risks

The biggest concern for YMTC’s future growth is the uncertain geopolitical risk surrounding U.S. semiconductor regulations against China. In December 2022, the company was added to the Entity List—an export control blacklist—by the U.S. Department of Commerce’s Bureau of Industry and Security (BIS), severely restricting its access to cutting-edge manufacturing equipment and technology. Later, when the U.S. Department of Defense revised its 1260H list designating Chinese military-linked companies in February 2026, YMTC was temporarily removed from the list, yet the embers of geopolitical conflict still remain. In July 2026, the U.S. House Select Committee on the Chinese Communist Party sent a letter urging the Department of Commerce to impose comprehensive purchase restrictions to prevent domestic companies from buying semiconductor products from YMTC and major DRAM maker ChangXin Memory Technologies (CXMT). The U.S. Congress has warned that reliance on Chinese memory semiconductors poses a threat to U.S. economic and supply chain security, and such further U.S. moves to tighten sanctions continue to act as a formidable barrier to the company’s procurement of advanced equipment and its full-scale expansion into overseas markets.

The Incursion into the Consumer Market and Its Ripples Across Japanese Companies

Taking advantage of Samsung Electronics and SK Hynix focusing on high-value-added AI memory products such as enterprise SSDs (eSSDs) for servers, YMTC is rapidly gaining dominance in the consumer SSD market, which competing firms are pulling out of. The company has rolled out its consumer storage brand “ZHITAI” and is accelerating its overseas expansion, including its official entry into the South Korean market in June 2026. However, it still remains fifth in the world in terms of revenue, and improving profitability by increasing the ratio of high-end data center products is an ongoing challenge. The massive IPO proceeds secured through this listing and the production expansion at the Wuhan plant raise concerns about triggering mid- to long-term oversupply in the existing NAND flash market. Japanese companies such as Kioxia, whose market share has been caught up to, will face a severe situation in both intense price competition and technological development competition. Furthermore, for Japanese semiconductor manufacturing equipment makers whose sales opportunities for advanced equipment are restricted, the impact of supply chain restructuring will be extremely significant.
